1. Acceptance of Terms
By accessing, registering for, or using the Formatly website, application, API, and associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms.
These Terms constitute a legally binding agreement between you (the "User") and Formatly Inc. ("we," "our," or "us"). We reserve the right to modify, amend, or update these Terms at any time.
2. Detailed Description of Service & AI Nature
Formatly provides a technology platform utilizing artificial intelligence, machine learning, and algorithmic parsing to automate the formatting of documents according to specific academic, organizational, and professional style guidelines.
Beta Features and AI Output: You acknowledge that AI technology is inherently probabilistic and continuously evolving. As such, the outputs generated by the Services ("Output") may occasionally contain errors. You accept full responsibility for reviewing, verifying, previewing, and approving all Output before utilizing it for any submission.
3. User Accounts & Security
To access the full functionality of the Services, you must create an account. You agree to provide accurate, current, and complete information and to keep this information updated.
- Account Security: You are strictly responsible for safeguarding your password, API keys, and any other authentication credentials used to access the Services.
- Liability for Account Activity: You assume sole responsibility for any and all activities or actions that occur under your account.
4. Payment, Subscriptions & Refunds
Certain tiers of our Services require a paid subscription. All fees are stated in U.S. Dollars and are exclusive of taxes unless otherwise explicitly stated.
- Auto-Renewal: Subscriptions are billed in advance and automatically renew at the end of the applicable subscription period.
- No Refunds Policy: Except as required by mandatory consumer protection laws, all payments are strictly non-refundable.
5. Intellectual Property & Ownership
Your Content (100% Retained Ownership): You retain full, sole, and exclusive ownership, copyright, and all related intellectual property rights to the documents you process using the Service. Formatly claims absolutely NO intellectual property rights over Your Content.
Our Technology: The Formatly platform, including its original source code, AI algorithms, visual design, and UI/UX elements, are and will remain the exclusive intellectual property of Formatly Inc.
6. Academic Integrity Disclaimer
Formatly is a formatting and presentation tool, not a content generation or plagiarism detection service.
- We do not verify the originality, factual accuracy, or academic validity of the text you upload.
- It is entirely your responsibility to ensure that your use of Formatly complies with your institution's honor code.
7. Limitation of Liability
Maximum Extent Permitted by Law
To the maximum extent permitted by applicable law, in no event shall Formatly Inc. be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, data, or other intangible losses.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed strictly in accordance with the laws of the State of Delaware, United States.
Arbitration Agreement: Any dispute arising out of or relating to these Terms will be referred to and finally determined by binding arbitration in accordance with the JAMS International Arbitration Rules.
